ERC: D-Corporation

D-Corp: An on-chain corporation distributing profits to capital, labor, and consumers.

Project Description

D-Corp is a new corporate primitive for Ethereum: an on-chain company that encodes its constitution, treasury, and stakeholder rewards directly in smart contracts. Unlike traditional firms, D-Corp recognizes three stakeholder classes — Capital, Labor, and Consumers — each represented by its own token class in a unified ERC-1155 contract.

Capital tokens (fungible) represent investor and founder stakes.

Labor tokens (non-transferable) are earned by contributors through attested work.

Consumer tokens (non-transferable, decaying) are earned by proof-of-consumption (receipts, referrals, retention).

Revenues (collected in stablecoins like USDC) flow into a D-Corp Treasury OVault. Each quarter, profits are distributed across Capital, Labor, and Consumer pools according to pre-set weights. Within each pool, holders claim distributions proportional to their activity-weighted shares.

D-Corp is a prototype for distributed superconsumerism, a form of experimental macroeconomics that Balaji says are inherent to network states. Imagine an economy where automation-driven surplus is shared not only with investors and workers, but also with the people who actually use the product.

This is one of many things that needs to happen. If you go through the slides you'll see a very small amount of the research that went into the rationale for this. TLDR; we're steamrolling towards a society that incentivizes gulags and in which there isn't enough labor to go around. The experts in the subjects who provide us with the data and deep dives on this, are extremely pessimistic about out ability to navigate this future successfully. And so we must start solving problems that have been put off for decades, right now. More to come.

How it's Made

Build the project using our usual stack for hackathon demos. nextjs, typescript, trpc, supabase, shadcn, tailwind, claude code, vercel, solidity. Partner technologies were instrumental and the LZ OVault in particular was super interesting concept. Seems like a great way to manage treasuries, and increasingly hot topic. Hardhat, as always, got the job done for testing and deployment. Thanks to all our sponsors.

oVault (LayerZero) - serves as the D-Corp Treasury Vault.

Hardhat - for testing and deployment.
